Club change of status

The Resolution to change the legal structure of the club from an unincorporated association to a charitable incorporated organisation (CIO) was passed unanimously at the General Meeting held at the club yesterday (27 th June). This is encouraging and big thank you goes to those members who voted.
The real test will be at the Special General Meeting to be held at 12.45pm on Sunday 18th August in the clubhouse when at least 10% of the membership need to be present and a 2/3rds majority achieved to give the committee the mandate to proceed.
Please remember that this is all aimed at protecting club members so do try to attend and vote – your club needs you!

Proposed Change of Status for SBSC

The Honorary Secretary wrote to all voting members on 30th May 2019 describing proposed changes to our legal status and giving notification of two key voting meetings. The content of his covering letter is shown below in italics.

The documents referenced in the brief accompanying his letter are available at the clubhouse or by email from secretary@suttonbinghamsc.net  or by download from this site under “Members” “All Downloads” “Club Documents”.

These include:

  • The constitution “SBSC Constitution with Charity Commission GDPR.PDF”
  • The residual rules “SBSC Constitution Residual Rules.PDF”

Content of the Letter:

For some time, the Committee has been working to change the club to an organisation that has its own legal identity. This provides greater protection for the officers and members of the club from carrying unlimited liability. The process has been pursued with the assistance of our solicitors and with the full knowledge and support of the RYA. To complete the process the club in its present form will need to be dissolved and all the assets transferred to a new organisation. All of this is explained in a briefing to members that is attached to this letter.

According to our club rules, and to dissolve the Club, we are required to convene a Special General Meeting at which at least 10% of the membership must be present. Members will be asked to consider the following Resolution “To make the Club a Charitable Incorporated Organisation (CIO) by transferring all the club’s assets and liabilities to a newly created CIO and dissolving the existing Club”.

To call a Special General Meeting a vote must take place at a general meeting with at least 10 members present. This letter is therefore official notice that the Committee is calling a General Meeting which will take place on Thursday the 27th of June at 7‐45pm to approve the call for a Special General Meeting to discuss the resolution described above. The meeting will be held in the Clubhouse. If so approved, the Special General Meeting will take place on the 18th of August at 12‐45pm and will also be held at the Club. Your attendance at these meetings would be much appreciated so that we can move this process forward.
